Consault Terms of Use
Effective date: 9 October 2026
Last updated: 16 October 2026
These Terms of Use ("Terms") are an agreement between you and Flvxtract Technologies Limited ("Consault", "we", "us" or "our"). They govern your access to Consault's websites, applications, AI assistants, workspaces, agent teams, communications, billing services and related services (together, the "Services").
By creating an account, accepting an invitation, buying a plan or using the Services, you agree to these Terms. If you use the Services for an organisation, you confirm that you have authority to accept these Terms for that organisation. In that case, "you" includes the organisation.
If you do not agree, do not use the Services.
1. Eligibility and accounts
You must be at least 18 years old and legally able to enter this agreement. You must provide accurate account information, keep it current and protect your login methods. You are responsible for activity carried out through your account unless it results from Consault's breach of its obligations.
Consault is operated from Nigeria and is initially marketed there, but people in other countries may access it where the Services and payment methods are available. If you use Consault elsewhere, you must follow the laws applicable to your use. These Terms do not remove mandatory rights that apply to you in your country.
An organisation owner or administrator may invite members, assign roles, control workspace access and manage content. If you join an organisation, the organisation may control your access and the work you create for it.
Tell us promptly at [email protected] if you believe an account, credential or connected service has been compromised.
2. What Consault provides
Consault provides a personal AI assistant and AI teams that can help users plan, research, design, build, test, deploy and operate software and create content. Depending on your plan and configuration, the Services may:
- work with repositories, files, documents, tickets and connected applications;
- run tools, commands, browsers, builds, tests and deployment workflows;
- help operate a live app using approved access to its infrastructure, logs, data and administrative interfaces;
- create images, video, audio, code and other content;
- join supported calls or meetings under the assistant's configured name; and
- carry out recurring or scheduled work.
Features may be labelled beta, preview or experimental. They may change, fail or be withdrawn. We will provide reasonable notice where a material paid feature is discontinued, when practical.
3. AI output and agent actions
AI systems can make mistakes, misunderstand instructions and generate inaccurate, incomplete or unsuitable output. You must use reasonable judgment and review outputs before relying on them, especially for legal, financial, medical, employment, security or other high-impact decisions.
Consault can take actions in your workspace, repositories, infrastructure and connected services. You control the access granted to Consault and the level of agent authority. Certain actions may require your approval, but an approval control does not replace your responsibility to configure permissions and supervise use appropriate to your situation.
When you instruct Consault to take an action, you authorise Consault to transmit data and issue commands reasonably necessary to carry it out. You confirm that you have the rights and permissions needed for the systems, accounts, data and people affected by that action.
4. Your content
"Customer Content" means prompts, files, code, data, media, messages, credentials, instructions and other material submitted to or generated through the Services for you.
As between you and Consault, you retain your rights in Customer Content. You grant Consault a limited, worldwide, non-exclusive licence to host, copy, transmit, display, modify and otherwise process Customer Content only as reasonably needed to provide, secure, support and improve the Services, comply with law and follow your instructions. This licence ends when the content is deleted from our systems, subject to backups, legal retention and content you deliberately made available to others.
You are responsible for Customer Content and must ensure that you have the rights, notices, lawful bases and consents needed to use it. This includes rights in source code, confidential information, personal data, voices, faces, brands and copyrighted media.
We do not claim ownership of AI-generated output created for you. Because AI systems can produce similar material for different users, output may not be unique and may not qualify for intellectual-property protection. You are responsible for reviewing output and determining whether you may use it.
5. Our software and materials
Consault and its licensors own the Services, including the platform software, interface, branding, documentation, system prompts, templates and other materials we provide, excluding Customer Content and third-party components.
Subject to these Terms and your plan, we grant you a limited, revocable, non-exclusive, non-transferable right to use the Services during your subscription. You may not copy, resell, reverse engineer or bypass the Services except to the extent the law does not allow that restriction.
Open-source and third-party components may be governed by their own licences. Those licences control where they conflict with these Terms.
6. Connected services and your infrastructure
The Services may connect to third-party products, repositories, communication channels, meeting platforms, AI providers, payment services, cloud infrastructure and apps you operate. Third-party services are governed by their own terms and privacy practices. Consault is not responsible for a third-party service's availability, conduct or independent processing.
You decide which services to connect and may remove access, subject to work already in progress. You should grant least-privilege access and review permissions regularly.
Consault may help deploy or operate an app, but the app does not have to depend on Consault to continue running unless you deliberately build that dependency. You remain responsible for your app's users, content, legal compliance, customer support, backups and business decisions unless a signed agreement expressly assigns a responsibility to Consault.
7. Meetings, calls and communications
If you ask an assistant to join, place or answer a call or meeting, you represent that you are authorised to do so. You must disclose that an AI assistant is participating and obtain any consent required for audio processing, transcription, recording, notes or automated responses. You must not use Consault to secretly record, impersonate or deceive another person.
Meeting and communications providers may block, remove or limit AI participants. Consault does not guarantee that an assistant can join or remain in every call, identify every speaker or respond without delay.
When you authorise messages, posts or other external communications, you are responsible for the final content, recipients and timing. Consault will not knowingly send a message to another person without your direction or another valid authorisation configured by you.
8. Plans, trials and Consault Credits
Current plan features and prices are shown at checkout or on the pricing page. Taxes may be added where required.
Trial
Eligible customers may receive a seven-day, cardless trial with Starter capabilities. The trial starts when the first qualifying work begins, as explained at sign-up. When it ends, agents pause until the organisation chooses and pays for a plan. Stored work remains available. An app whose separate deployment or hosting charge has been paid may remain accessible under the hosting terms shown at purchase. The trial does not automatically begin a paid plan or charge a payment method. Trial eligibility may be limited to one trial per person or organisation.
Consault Credits
Consault Credits ("CC") are a platform billing unit used to pay for eligible plans, compute, storage, hosting, media generation and personal-assistant AI usage beyond the plan's managed usage. One CC is priced as the equivalent of one US cent for platform billing calculations, but the amount charged in local currency may include the exchange rate shown at purchase, taxes and payment-provider charges.
CC are not money, a bank deposit, electronic money, a security or a cryptocurrency. They cannot be redeemed for cash, transferred between unrelated accounts or used outside Consault. Promotional or included CC may expire at the end of the period stated when issued. Purchased CC expiry, if any, will be disclosed before purchase.
We may change future prices and conversion rates with notice. A new rate applies prospectively and does not reduce CC already credited to your wallet.
AI usage
An organisation may connect its own supported Claude or ChatGPT account on any plan, including the free trial. Those personal accounts are used first and remain subject to the provider's terms and limits. On a paid plan, workspace agents then use Consault-managed AI-provider subscriptions within the plan's usage limits; during the free trial, workspace agents run only on the organisation's own connected account. Workspace agents never run on Consault's API key. When neither is available, the work does not start until the organisation connects its own account or managed usage is available again.
The personal assistant uses a member's connected supported account first when one is chosen, then the plan's managed usage, including during the free trial. Beyond that it may use Consault's commercial API account, charged to the organisation's CC balance at the price shown in the product.
We may place a temporary hold for metered work and settle the charge when the work succeeds. Failed eligible generations release the hold. Ordinary non-AI editing may not incur an AI-generation charge, but compute or storage charges may still apply if disclosed.
9. Payment, renewal, changes and cancellation
Subscriptions renew for the period shown at checkout until cancelled. You authorise Consault and its payment provider to charge the saved payment method for the plan, taxes, top-ups and other purchases you approve. Optional automatic top-up charges occur only when enabled by an authorised account owner.
You can cancel a paid plan through the available account controls. Unless the checkout states otherwise, cancellation takes effect at the end of the current paid period and the organisation moves to the available entry plan. Downgrades take effect at renewal. Upgrades may take effect immediately with a prorated charge or credit shown before confirmation.
If payment fails or the CC balance is insufficient, we may pause paid work, agents, hosting or the organisation until payment is restored. We will not intentionally create a negative CC balance. Data is not deleted merely because one payment fails, although the retention and termination sections still apply.
Fees are generally non-refundable once the paid service or metered work has been delivered, except where required by law, where the service was not supplied as described, or where we state otherwise. Nothing in these Terms limits any mandatory refund, repair, replacement or other consumer right. Contact [email protected] within 14 days of a disputed charge so we can investigate promptly. Reporting after 14 days does not remove a right that applicable law does not allow you to waive.
10. Acceptable use
You must comply with the Consault Acceptable Use Policy, which forms part of these Terms. You may not use the Services unlawfully, harm people or systems, violate rights, deceive others about AI participation, distribute malware, send unauthorised bulk messages or evade safeguards and usage limits.
11. Privacy and data protection
Our Privacy Policy explains how we handle personal data as a controller. When Consault processes personal data for an organisation, additional data-processing terms may apply. If your use requires a data processing agreement, contact [email protected] before placing regulated or high-risk personal data in the Services.
You are responsible for providing legally required notices to people whose data you place in Consault and for responding to their requests, with our reasonable assistance where Consault acts as your processor.
12. Confidential information
Each party may receive non-public information from the other that a reasonable person would understand to be confidential. The receiving party will use that information only to perform or receive the Services and will protect it using reasonable care. This obligation does not cover information that is public without breach, already lawfully known, independently developed or lawfully received without a confidentiality duty.
A party may disclose confidential information where law requires it, after giving notice where legally permitted. Consault may allow authorised personnel and service providers to access confidential information only where needed to provide or protect the Services and subject to suitable duties.
13. Feedback
If you provide suggestions or feedback, you grant Consault a perpetual, worldwide, royalty-free right to use it without restriction or payment. This does not give us a licence to identify you publicly or disclose your confidential information.
14. Suspension and termination
You may stop using the Services at any time. At launch, you may request account closure, deletion or an export by emailing [email protected]. We may also provide self-service account controls later.
We may restrict or suspend access where reasonably necessary to address a security risk, unlawful use, material breach, non-payment, harm to another person or system, or a legal requirement. Where practical, we will give notice and an opportunity to cure. We may act immediately where delay could cause harm or create legal or security risk.
Either party may terminate for a material breach that is not cured within 14 days after notice. We may also discontinue the Services with reasonable notice and refund prepaid fees for an unused period where required.
After termination, access ends and Customer Content will be handled under the Privacy Policy and any applicable order form. We normally provide a 30-day opportunity to export available data unless access must be restricted for security or legal reasons. You should maintain your own copies of critical code, data and business records.
Sections that by their nature should continue after termination remain in force, including ownership, payment obligations, confidentiality, disclaimers, liability and dispute terms.
15. Service availability and changes
We aim to make the Services reliable, but do not guarantee uninterrupted or error-free operation unless a signed service-level agreement says otherwise. Maintenance, provider outages, Internet conditions, model limits and third-party restrictions can affect availability.
We may change the Services to improve them, address security or legal issues, or reflect provider changes. If a change materially reduces a paid service, we will provide reasonable notice when practical and any remedy required by law or a signed order form.
16. Warranties and disclaimers
We will provide the Services with reasonable care and skill. Apart from express promises in these Terms or a signed agreement, and to the maximum extent permitted by law, the Services and AI output are provided "as is" and "as available." We do not promise that output is accurate, unique, fit for a particular purpose or free of third-party rights.
Nothing in these Terms excludes warranties, guarantees or remedies that cannot legally be excluded, including applicable consumer rights.
17. Liability
Nothing in these Terms excludes or limits liability where the law does not allow it, including liability for fraud, wilful misconduct, death or personal injury caused by negligence, or violation of mandatory consumer rights.
Subject to that sentence, neither party will be liable for indirect or consequential loss, loss of profit, revenue, goodwill or anticipated savings, or loss of data that could reasonably have been avoided by maintaining suitable backups.
For business users, each party's total liability arising from the Services during any 12-month period will not exceed the greater of: (a) the amount you paid Consault for the Services during that period; or (b) ₦500,000. This cap does not apply to payment obligations, misuse of the other party's intellectual property or confidential information, or an indemnity expressly stated in a signed enterprise agreement.
For consumers, liability is limited only to the extent permitted by applicable consumer law.
18. Governing law and disputes
Before filing a claim, contact [email protected] and give us a reasonable opportunity to resolve the issue informally.
These Terms are governed by the laws of the Federal Republic of Nigeria. Subject to any mandatory consumer right to bring a claim elsewhere, the courts of Lagos State, Nigeria will have jurisdiction.
Nothing here prevents either party from seeking urgent relief to protect accounts, confidential information, intellectual property or systems.
19. Changes to these Terms
We may update these Terms. We will post the updated version and revise the date above. We will give reasonable advance notice of a material change through the Services, email or another appropriate channel. Changes will apply prospectively. If you do not agree to a material change, you may stop using the Services and cancel before it takes effect.
20. General terms
You may not assign these Terms without our consent, except as part of a genuine reorganisation, merger or sale of substantially all relevant assets. We may assign them as part of a reorganisation, financing, merger, acquisition or sale, with notice where required.
Failure to enforce a term is not a waiver. If a term is unenforceable, the remaining terms continue and the affected term will be adjusted only as much as necessary. These Terms, incorporated policies, order forms and signed addenda are the complete agreement about the Services. A signed order form or enterprise agreement controls if it expressly conflicts with these Terms.
